Governance and Advisory Program

BCD Governance & Advisory Board Program is a Program designed by behind closed doors and Joanna Andrew, a Partner with Mellor Olsson Lawyers and an AICD Facilitator for the Company Directors CourseTM.

An Advisory Board refers to a collection of subject matter experts that offers insights and guidance to Founders and leadership teams to help them scale their business, make better decisions, and improve outcomes. Unlike a Board of Directors, an Advisory Board doesn't have fiduciary duties. But it is important for Founders and Leaders to understand governance and risk to protect you and your business.

The objective of this Program is to introduce the benefits of creating an Advisory Board for your business and how to establish an effective one. By understanding your business goals and objectives and identify gaps in achieving those goals and objectives, we will introduce you to the most appropriate Board Advisors to fill those gaps. Board Advisors will predict problems before they come up and as a result, they often influence a business’s long-term success.

This Program was created with our Entrepreneurs in mind as many of you are currently at the precipice of taking the next step in your business. Having an Advisory Board will help provide you with diverse external perspective, enhanced credibility, opens doors to opportunities, strategic insights by leveraging on your Advisory Board Member’s expertise,amongst other advantages of having this structure as part of scaling your business.

The Program will cover setting up the right structure for the Advisory Board and access to a national network of Entrepreneurs and business owners who have built successful businesses at scale.

Even if you are not at the stage of being ready to establish an Advisory Board for your growing business, it is still an essential program to understand the possible pathways available to you when the time is right.

Joanna Andrew joined Mellor Olsson in 2003 and became a Partner in 2008. She started her career practicing predominantly in tort law.

She consults to businesses and industry bodies on corporate governance and Directors' duties and provides training in these areas at both Board and individual level. Joanna regularly undertakes Board and Director performance evaluations and structure reviews. Joanna also regularly consults on amending and updating Constitutions for organisations and stakeholder engagement.

She is a Facilitator for the Australian Institute of Company Directors: Company Directors Course "The Board's Legal Environment" together with “Achieving Board Effectiveness”.

Joanna’s current board positions include Chairman of South Australian Produce Markets Limited where she also serves on the Finance, Audit and Governance Committee. She also serves as an Alternate Director for Perth Markets Ltd and is a sitting tribunal member of the National Sports Tribunal and the SANFL Player Payment Investigation Committee.

Her previous board experience includes Chair positions for Australian Vignerons (formerly Wine Grape Growers Australia and now Australian Grape & Wine Inc), Brain Injury South Australia and the Julia Farr Housing Association. Her previous Non-Executive Director roles were with Beston Global Foods, Adelaide Cemeteries Authority, Adelaide University Business School Advisory Board, Adelaide and Mount Lofty Ranges Natural Resources Management Board, Uniting Communities and Crime Stoppers SA.
